True Schole runs on the TrueLeap Platform and complies with all policies established by TrueLeap Inc.
Welcome to True Schole, an online learning and content marketplace owned and operated by TrueLeap Inc., a Delaware corporation (“TrueLeap”, “we”, “us”, or “our”).
These Terms and Conditions (“Terms”) govern your access to and use of the True Schole website, platform, mobile apps, content, features, services, and products (collectively, the “Platform”). By accessing or using any part of the Platform, you agree to be bound by these Terms and our Privacy Policy.
1. Eligibility and Account Registration
You must be at least 18 years of age and legally capable of entering into contracts to use the Platform. You agree to provide accurate, current, and complete account information and to keep it up to date.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
2. Subscription Plans and Billing
- TrueLeap offers both free and paid subscription plans. Paid features and pricing details are outlined on our Account Management Page.
- By subscribing, you authorize TrueLeap (or its third-party payment processor) to charge your payment method on a recurring basis (monthly or annually).
- You may cancel your subscription at any time through your account settings. No refunds are issued for partial billing periods.
- All prices are listed in U.S. dollars unless otherwise stated, and applicable sales taxes may be added based on your location.
3. User-Generated Content and Licensing
When you upload or publish content to the Platform, including courses, videos, assignments, or forum posts (“User Content”), you:
- Retain ownership of your content.
- Grant TrueLeap a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, display, distribute, and promote your content solely to operate and improve the Platform.
You represent and warrant that you have all rights necessary to post the content and that it does not infringe the rights of any third party.
4. Marketplace Terms for Creators
If you create and sell content through True Schole’s open marketplace:
- You are responsible for your pricing, course descriptions, and delivery.
- TrueLeap may retain a platform fee or commission from each transaction, disclosed upfront before publishing.
- Earnings will be remitted to your designated payout method according to our Creator Payment Policy.
You must comply with all applicable U.S. tax and/or international reporting and collection requirements, including submitting a valid W-9 or relevant tax documentation.
5. Acceptable Use Policy
You agree not to:
- Violate any applicable U.S. laws, including copyright, trademark, export control, and anti-spam regulations
- Upload or distribute malicious software, offensive content, or illegal material
- Attempt to access or disrupt the security or integrity of the Platform
TrueLeap reserves the right to suspend or terminate any account violating this policy.
6. Intellectual Property
All content on the Platform, except User Content, including trademarks, logos, designs, text, software, and graphics, is owned or licensed by TrueLeap and protected under U.S. intellectual property laws.
You may not copy, reproduce, modify, or distribute any Platform content without prior written permission from TrueLeap or the respective rights holder.
7. Disclaimers
TrueLeap provides the Platform on an “as-is” and “as-available” basis. We disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that the Platform will be secure, error-free, or continuously available.
8. Limitation of Liability
To the maximum extent permitted by U.S. law, TrueLeap and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform.
Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless TrueLeap, its officers, employees, agents, and affiliates from any claims, damages, liabilities, and expenses arising from:
- Your use or misuse of the Platform
- Your violation of these Terms
- Your infringement of any intellectual property or other rights of any person or entity
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
Any disputes will be resolved through binding arbitration under the rules of the American Arbitration Association in Wilmington, Delaware, and not in a court of law, except that either party may seek injunctive relief for breach of intellectual property rights.
11. Modifications
We may update these Terms at any time. Changes will be effective upon posting to the Platform or notifying users. Continued use of the Platform constitutes your acceptance of the revised Terms.
